1. Services Provided

  • Website design and development (including Shopify, WordPress, and custom builds)
  • eCommerce development and technical support
  • SEO strategy and implementation (on-page, off-page, technical)
  • Email marketing setup and automations
  • Paid advertising strategy (Google Ads, Facebook Ads, etc.)
  • Branding, content creation, and graphic design
  • Hosting and site maintenance (where applicable)

Specific service scope and deliverables will be outlined in a proposal or agreement.


2. No Guarantee of Performance

While we aim to deliver high-quality work, we make no guarantees regarding:

  • Website traffic, conversion rates, revenue increases, or other KPIs
  • Search engine rankings or organic performance
  • Advertising ROI or engagement outcomes

Digital performance is influenced by external factors beyond our control (e.g., market conditions, platform algorithms, user behaviour).


3. Link Building & SEO Disclaimer

Our SEO strategies follow accepted industry practices. However, you acknowledge:

  • We do not control third-party sites used for link placements
  • Search engines may penalise or de-index websites based on factors outside our control
  • We disclaim all liability for SEO-related losses, penalties, or reversals

4. Web Development & Technical Limitations

You acknowledge that:

  • Website bugs may occasionally arise due to theme/plugin conflicts or third-party integrations
  • Full compatibility across all devices, browsers, or legacy systems is not guaranteed unless specifically scoped
  • We are not responsible for downtime, server issues, or hosting platform limitations unless we manage your hosting directly

5. Intellectual Property

Unless otherwise agreed:

  • We retain the intellectual property rights to any custom code, creative assets, or documents we produce until full payment is received
  • After final payment, the client receives a royalty-free, non-exclusive license to use deliverables for business purposes

Use of our materials for resale, sublicensing, or redistribution is prohibited without written permission.


6. Client Responsibilities

Clients are expected to:

  • Provide clear instructions, timely feedback, and access to systems (e.g., Shopify, hosting, domain registrar)
  • Supply content, imagery, and assets unless otherwise agreed
  • Review deliverables within specified timeframes to keep projects on track

Delays in providing input or approvals may impact project timelines and incur additional costs.


7. Payment Terms

  • Invoices must be paid in accordance with the agreed schedule
  • Late payments may result in paused work or service disruption
  • All fees are non-refundable once services have been rendered or access has been granted

We reserve the right to withhold deliverables or access to services if outstanding invoices remain unpaid.


8. Chargebacks

Initiating a chargeback or reversal of payment without first attempting to resolve the issue directly with us is a breach of these Terms. We reserve the right to pursue legal action or debt collection for any unauthorised chargebacks.


9. Confidentiality

We will treat all confidential client information with care and will not disclose or use it for purposes outside the scope of the project, unless required by law.


10. Limitation of Liability

To the extent permitted by law:

  • We are not liable for any indirect, incidental, consequential, or punitive damages
  • Our total liability is limited to the amount paid by you for the services in question within the past 60 days
  • We are not liable for loss of business, data breaches from third-party platforms, or platform outages

11. Service Suspension & Termination

We reserve the right to suspend or terminate services if:

  • You breach these Terms
  • There is non-payment or abusive behaviour
  • The project scope materially changes without mutual agreement

Either party may terminate an agreement with written notice, subject to cancellation terms in the project proposal.


12. Amendments

We may update these Terms from time to time. Continued use of our services or website after changes are published constitutes acceptance.


13. Governing Law

These Terms are governed by the laws of New South Wales, Australia, and any disputes shall be subject to the exclusive jurisdiction of the courts in that location.
